01. Binding Agreement & Acceptance

Welcome to Grency AI Systems (hereinafter referred to as "GAS", "Company", "we", "us", or "our"). These Terms and Conditions constitute a legally binding agreement between you (whether individually or on behalf of an enterprise entity, "User" or "Customer") and GAS.

02. SaaS Software License & Scope

GAS develops, hosts, and licenses proprietary software products and Software-as-a-Service (SaaS) applications across various domains. Subject to your compliance with these Terms and timely payment of applicable subscription or licensing fees, GAS grants you a non-exclusive, non-transferable, revocable, limited license to access and utilize the designated software application solely for your internal business or personal operations during your active subscription period.

Nothing in these Terms conveys to you any ownership rights, title, or interest in or to the underlying codebase, machine learning architectures, algorithms, interface designs, or documentation of any GAS product.

03. User Accounts & Credentials

To access certain features of GAS applications, you must create an authorized user account:

• Accuracy: You agree to provide accurate, current, and complete registration information and keep your profile updated.
• Account Security: You are solely responsible for preserving the confidentiality of your login credentials, passwords, API tokens, and two-factor authentication secrets.
• Activity Responsibility: You assume full legal responsibility for all activities conducted under your user account, whether authorized by you or resulting from unauthorized access due to credential compromise.
• Notification: You must immediately notify GAS at grencyaisystems@gmail.com upon suspecting any unauthorized breach or access to your account.

04. Acceptable Use Policy

You agree not to misuse, abuse, disrupt, or exploit any GAS software application, website, or infrastructure. Specifically, you shall not:

• Decompile, reverse engineer, disassemble, decrypt, or attempt to derive the source code or trade secrets of any GAS product or AI pipeline.
• Circumvent, disable, or tamper with any digital licensing verification, usage quotas, rate limits, or security filters implemented within our software.
• Use automated bots, crawlers, or scrapers to extract application data without explicit prior written consent from GAS.
• Transmit viruses, malware, trojans, ransomware, or other malicious payloads through our services or APIs.
• Resell, sublicense, lease, rent, or distribute access to any GAS SaaS product to unauthorized third parties without an executed enterprise partner agreement.
• Use GAS applications for any unlawful, defamatory, infringing, fraudulent, or harmful activities under applicable Indian or international law.

05. PhonePe Payments & Billing

All commercial transactions for GAS software subscriptions, feature upgrades, one-time software licenses, and professional service retainers are processed via PhonePe Payment Gateway.

• Authorized Payment Channels: Supported payment methods via PhonePe include UPI, Credit Cards, Debit Cards, Net Banking, and authorized digital wallets.
• Currency & Taxes: Unless explicitly stated otherwise, all prices are quoted in Indian National Rupees (INR) and are exclusive of applicable Goods and Services Tax (GST) or relevant statutory duties.
• Recurring Billing: For SaaS subscriptions with recurring billing cycles (e.g., monthly, quarterly, or annually), you authorize PhonePe to automatically process recurring charges against your chosen payment method on the scheduled renewal date until you actively cancel the subscription.
• Payment Failure & Suspension: If PhonePe is unable to process a renewal charge due to card expiration, insufficient funds, or banking issues, GAS reserves the right to suspend or restrict tenant access after a 3-day grace period.

06. Cancellation & Strict No-Refund Policy

Subscription Cancellation Workflow:

Customers may cancel their recurring SaaS subscriptions at any time through their user account dashboard or by submitting a written notice to grencyaisystems@gmail.com:

• Upon cancellation, your subscription will not renew, and no further charges will be debited via PhonePe.
• The amount already paid for the current active billing cycle will NOT be refunded.
• Your subscription and access to all paid software features will remain fully active and accessible until the scheduled end date of the current prepaid billing period.

07. Intellectual Property Rights

The trademarks, service marks, logos (including the interlocking GAS ribbons and geometric emblems), visual assets, graphics, designs, compilations, source code, neural models, documentation, and all intellectual property contained within the website and our SaaS software applications are the exclusive property of Grency AI Systems or our licensors and are protected under Indian Copyright Act, 1957, Trade Marks Act, 1999, and international IP conventions.

Users are granted only the limited right to utilize the software as expressly defined in Section 2. No other express or implied licenses are granted.

08. Service Availability & Maintenance

GAS strives to maintain high enterprise platform reliability with an operational service target of 99.9% uptime for our cloud SaaS offerings. However:

• Uptime targets exclude scheduled maintenance windows (conducted during off-peak hours with prior email notice), emergency security patches, or service disruptions caused by upstream cloud providers, third-party internet backbone outages, or telecommunication failures.
• GAS is not liable for temporary service interruptions or loss of productivity caused by force majeure events or failures of external third-party APIs.

09. Warranty Disclaimers

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, ALL GAS WEBSITES, SOFTWARE PRODUCTS, SAAS PLATFORMS, APIS, AND CONSULTING DELIVERABLES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

GAS SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT OUR SOFTWARE WILL MEET ALL SPECIFIC REQUIREMENTS, OPERATE WITHOUT UNINTERRUPTED ERROR, OR BE FREE FROM LATENT VULNERABILITIES.

10. Limitation of Liability

IN NO EVENT SHALL GRENCY AI SYSTEMS, ITS FOUNDERS, DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, PROFITS, BUSINESS GOODWILL, ANTICIPATED SAVINGS, DATA CORRUPTION, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE OUR SOFTWARE.

IN ANY EVENT, THE AGGREGATE LIABILITY OF GRENCY AI SYSTEMS ARISING UNDER OR RELATING TO THESE TERMS OR ANY GAS SOFTWARE APPLICATION SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO GAS FOR THE RELEVANT SOFTWARE PRODUCT DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Grency AI Systems, its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or resulting from your violation of these Terms, your misuse of GAS applications, or your infringement of third-party intellectual property rights.

12. Governing Law & Dispute Jurisdiction

These Terms and Conditions, and any claims or disputes arising out of or related to our software or services, shall be governed by, construed, and enforced in accordance with the laws of the Republic of India, without regard to conflict of law principles.

Both parties irrevocably submit to the exclusive personal jurisdiction and venue of the competent civil courts situated in Surat, Gujarat, India for any legal proceeding or action arising out of this agreement.

13. Modifications to Terms

GAS reserves the right to modify, amend, or replace these Terms and Conditions at our sole discretion. We will notify customers of material updates by updating the "Effective Date" at the top of this page and posting announcements via our application dashboards.

Continued use of our applications or services following the implementation of amended terms denotes acceptance of the revisions.
